Webinar: The Essentials of Joint Venture Agreements: Business and Construction Considerations
Joint ventures can give contractors opportunities to pursue larger, more complex projects, expand into new markets and combine resources and expertise. However, a successful joint venture requires careful planning and a well-structured agreement that addresses both business and project-specific considerations.
This webinar will examine joint venture agreements from both the business transactions and construction perspectives. On the business side, Business Transactions Partner Anthony Chwastyk will discuss key provisions involving governance and decision-making, buy/sell arrangements, compliance with MBE/SBE requirements, capital contributions, distributions and tax considerations. On the construction side, Construction Partner Joseph Sine will address operational responsibilities between joint venture partners, subcontracting, allocation of liability and indemnification obligations and prequalification requirements for government agencies.
Attendees will gain a practical understanding of the issues contractors should consider when forming, structuring, and operating a joint venture, as well as how thoughtful agreement terms can help define responsibilities, allocate risk and reduce the potential for disputes between joint venture partners. We hope to see you there!
