- Advised on a series of related transactions totaling $18.9 million, including the sale of a specialty food distribution business, a real estate sale-leaseback involving solar asset considerations and the acquisition of a bakery facility to support a strategic market shift.
- Served as lead counsel in the $20 million sale of a mechanical contracting company to a regional strategic buyer, negotiating deal terms, warranties and transition arrangements, and continuing to advise the seller on post-closing matters.
- Advised a mechanical contractor on a $23.4 million multistate expansion strategy involving the acquisition of a competitor, the divestiture of a legacy property and the purchase of a new commercial facility, coordinating negotiations across multiple jurisdictions and legal teams.
- Represented a composites engineering and manufacturing company and its shareholders in a corporate reorganization, including the spin-off of a business division, followed by its acquisition by a national defense contractor.
- Represented the property owner in the negotiation of construction contracts for a $135 million development spanning several properties.
- A $6 million transaction involving the sale of multiple concrete plants, associated real estate parcels, vehicles and equipment, and the execution of a 1031 exchange.
- A $9 million loan restructuring for an electrical contracting business.
- Represented the lender in an $8 million letter of credit facility financing for a Chapter 11 bankruptcy debtor.
In addition to providing day-to-day business advice, we create the commercial contracts and documentation necessary for conducting business. For established businesses, we advise on company finance and refinance matters and draft agreements relating to the purchase, sale, and financing of both goods and real estate.
